1. Introduction
These Terms of Service (“Terms”) govern your access to and use of all products and services operated by Boldally Solutions Private Limited (“Boldally”, “we”, “us”, “our”), a company incorporated under the laws of India. This includes Boldally Chat and any future products offered under the Boldally brand.
By creating an account at auth.boldally.com or using any of our products, you (“Customer”, “you”, “your”) agree to be bound by these Terms. If you are using Boldally on behalf of an organization, you represent that you have the authority to bind that organization.
If you do not agree with these Terms, do not use our products.
2. Definitions
“Platform” refers to any Boldally product, including web applications, APIs, and related services accessible at boldally.com, auth.boldally.com, chat.boldally.com, and any associated subdomains.
“Account” refers to the user account created at auth.boldally.com, which provides access to one or more Boldally products.
“Business Account” refers to a workspace created within a Boldally product, associated with a specific business entity.
“User” refers to any individual authorized to access the Platform, including owners, admins, and agents.
“Content” refers to messages, templates, contacts, media files, and any other data you upload, send, or store through the Platform.
3. Eligibility
To use Boldally products, you must be at least 18 years of age, have the legal authority to enter into these Terms, and operate a legitimate business or organization. For Boldally Chat specifically, you must also comply with Meta’s WhatsApp Business Policy and Commerce Policy.
We reserve the right to refuse service to anyone for any reason at any time.
4. Account Registration and Security
You must provide accurate and complete information during registration at auth.boldally.com. You are responsible for maintaining the confidentiality of your credentials. You must notify us immediately if you suspect unauthorized access. You are responsible for all activity under your account. We are not liable for any loss arising from unauthorized use.
Your single account at auth.boldally.com may provide access to multiple Boldally products. Each product may have its own workspace and settings.
5. Use of the Platform
Permitted Use: You may use Boldally products for their intended business purposes as described in each product’s documentation.
Prohibited Use: You may not use any Boldally product to send spam, unsolicited messages, or messages to recipients who have not opted in. You may not violate any applicable third-party policies (including Meta’s WhatsApp policies for Boldally Chat). You may not use the Platform for any illegal, fraudulent, or harmful purpose. You may not reverse engineer, decompile, or extract the source code. You may not resell access without written authorization. You may not attempt to circumvent rate limits, security measures, or access controls. You may not impersonate another person or business.
We reserve the right to suspend or terminate your account for violations.
6. Product-Specific Terms
Boldally Chat
Boldally Chat is built on Meta’s official WhatsApp Cloud API. By using Boldally Chat, you agree to comply with Meta’s WhatsApp Business Policy and Commerce Policy.
Your WhatsApp Business Account (WABA) is subject to Meta’s approval, quality rating, and enforcement. Boldally is not responsible for actions taken by Meta against your WABA, including suspension, flagging, or template rejection.
Message template approval is controlled by Meta. We facilitate submission but cannot guarantee approval.
7. Pricing, Billing, and Payment
Subscription Fees: You agree to pay the fees for your selected plan as published on Pricing page. All prices are in INR and exclusive of GST (18%).
Usage Fees: Some products may include usage-based fees (e.g., WhatsApp message markup for Boldally Chat). These are detailed on each product’s pricing section.
Billing Cycle: Monthly plans are billed on the same date each month. Annual plans are billed upfront.
Payment Method: Payments are processed through Razorpay. You authorize us to charge your selected payment method.
Late Payment: If payment fails, we will retry. After 5 business days, your account enters read-only mode. Service restores upon successful payment.
Price Changes: We may change pricing with 30 days’ written notice. Existing annual plans are honored until renewal.
8. Free Trial
New accounts receive a 14-day free trial — no credit card required. At trial end, you must select a paid plan to continue. Without a subscription, your account enters read-only mode. Data is retained for 30 days, then may be permanently deleted.
9. Cancellation and Refunds
Monthly Plans: Cancel anytime. Cancellation takes effect at the end of the billing cycle. No partial refunds for unused days.
Annual Plans: Prorated refund within the first 30 days. After 30 days, cancellation takes effect at term end with no refund.
Account Deletion: Data is retained 30 days after cancellation for reactivation. After 30 days, all data is permanently deleted.

10. Data Ownership and Content
Your Data: You retain ownership of all Content. You grant Boldally a limited, non-exclusive license to process your Content solely for providing the service.
Our Data: All intellectual property in the Platform remains property of Boldally Solutions Private Limited.
Data Portability: Export your data through built-in export features.
Data Deletion: Upon account deletion, Content is removed from primary systems within 30 days and from backups within 90 days.
11. Privacy
Your use is governed by our Privacy Policy at Privacy Policy.
12. Uptime and Availability
We aim for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by third-party services or events beyond our control.
13. Limitation of Liability
To the maximum extent permitted by law, Boldally shall not be liable for indirect, incidental, special, consequential, or punitive damages. Total liability shall not exceed the amount paid by you in the 12 months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless Boldally Solutions Private Limited from claims arising from your use of the Platform, violation of these Terms, violation of third-party rights, or violation of applicable policies.
15. Modifications
We may update these Terms with 15 days’ notice via email or Platform notification. Continued use constitutes acceptance.
16. Governing Law
These Terms are governed by the laws of India. Disputes are subject to exclusive jurisdiction of courts in Panipat, Haryana, India. Both parties agree to 30 days of good-faith negotiation before legal proceedings.
